The Registrant’s by-laws limit directors’ and officers’ liability to the fullest extent permitted under applicable law and provide that the Registrant will, in certain situations, indemnify its directors and officers and may indemnify other employees and other agents, to the fullest extent permitted by applicable law. Any indemnified person is also entitled, subject to certain limitations, to advancement, direct payment, or reimbursement of reasonable expenses (including attorneys’ fees and disbursements) in advance of the final disposition of the proceeding.

 

The Registrant has entered, and intends to continue to enter, into separate indemnification agreements with each of its directors and officers, pursuant to which the Registrant agrees to indemnify them for certain potential expenses and liabilities arising from their status as a director or executive officer of the Registrant.

 

The Registrant maintains a directors’ and officers’ insurance policy, which covers certain liabilities relating to the Registrant’s obligation to indemnify its directors and executive officers in certain circumstances. It is not possible to determine the aggregate maximum potential loss under these indemnification agreements due to the limited history of prior indemnification claims and the unique facts and circumstances involved in each particular claim.
