EMCORE Corporation Announces Commencement of $45 Million Modified Dutch Auction Tender Offer for Its Common Stock

ALHAMBRA, Calif., May 15, 2015 (GLOBE NEWSWIRE) -- EMCORE Corporation (Nasdaq:EMKR) a leading provider of compound semiconductor-based components, subsystems, and systems for the broadband and specialty fiber optics market, today announced the commencement of a modified "Dutch auction" tender offer to purchase shares of its common stock ("Common Stock"), up to an aggregate purchase price of $45 million, at a price not greater than $6.75 nor less than $6.25 per share, net to the seller in cash, less any applicable withholding taxes and without interest. The offer will expire at 5:00 p.m., New York City time, on Monday, June 15, 2015. The full terms and conditions of the offer are described in the Offer to Purchase, the related Letter of Transmittal and other materials relating to the tender offer (the "tender offer documents") that were filed today with the Securities and Exchange Commission (the "SEC") and are being distributed to shareholders.

The Company's intention to conduct the tender offer was previously announced on May 6, 2015. 

While EMCORE's Board of Directors has authorized the Company to make the tender offer, neither EMCORE nor its Board of Directors make any recommendation to any shareholder as to whether to tender or refrain from tendering any Common Stock or as to the price or prices at which shareholders may choose to tender their Common Stock.
