State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
As a result of the time necessary to complete the compilation and audit of the Company’s financial statements, the Company was unable to complete the filing of its Form 10-K for the fiscal year ended September 30, 2010 by the due date of December 14, 2010, without unreasonable effort or expense.  The Company believes that it will be able to file its Form 10-K for the fiscal year ended September 30, 2010 on or before the fifteenth calendar day following the prescribed due date provided under Rule 12b-25(b).

During the fiscal year ended September 30, 2010, the Company expects to report improvement in its results of operations when compared to the prior year.   The amount of such improvement is still being determined because the compilation and audit of the Company’s financial statements is not completed.  In the prior year, the Company recorded expense in its results of operations due primarily to adverse changes in the macroeconomic environment.  In particular, in fiscal 2009 the Company recorded impairment of goodwill and other long-lived assets of $60.8 million, excess and obsolete inventory reserves of $16.1 million, losses on firm purchase agreements of $8.5 million, and provisions for bad debt of $5.1 million.
